Amsterdam / Abu Dhabi / September 22, 2025: Oci Global (Euronext: Oci, “Oci”) and Oascom Construction PLC (ADX and EGX: Oras, “Oascom Construction”) announced today that they are pursuing a potential fusion (the “combination”). The combination would set up a scalable infrastructure and investment platform, which is anchored in Abu Dhabi with a global range. In particular, the combination would offer the following advantages:
- Complementary strengths: The combination will bring together the first-class execution skills of Orascom Construction-supported by a backlog of $ 14 billion[1]Deep industry competence in the infrastructure and the provision of complex projects and concessions several female, mainly in the United States, in the GCC, in Egypt, in Europe and selected emerging countries and the institutional investment platform of OCI, transaction competence and proven success balance of the disciplined capital assignment.

Success record of the value creation
Oascom Construction and OCI have each created a value about cycles and geographies, which include five continents, including the execution of Landmark -Infrastructure Transactions, Industrial Projects and the Creation of Global Business. Since the beginning of 1950 by Onsi Sawiris, Orascom Construction has established a strong brand for the provision of quality projects and the construction of strong repeated alliances with partners and customers around the world. It became a worldwide leading global engineering, procurement and construction (EPC). With its entrepreneurial investment, OCI has developed a global leading cement, nitrogen and methanol business since 1999 and has done pioneering work in the USA's first large area of ​​Greenfield Blue-Blue-Blue-Kammoniak plant.
The period of the greatest added value in the history of Oascom Construction and Oci were in cement and later in natural gas industries in the assembly of their business, in which the companies built scale and achieved significant returns. OCI – including the OASCOM construction in its predecessor – has distributed dividends to shareholders of around 22 billion USD and delivered an internal return (IRR) of approx. 39% over the period.
With regard to the future, the combination is willing to contribute the opportunities in the infrastructure and to promote the merger of capital, investment and industry skills in order to strengthen and expand a diversified platform that will create repeated value in the upcoming cycles for years.
Structure of the possible combination
The construction of OCI and Oascom examines a structure in which the Orascom construction would acquire the acquired ADGM-integrated and adx-prime company. Subject to the ongoing negotiations on the structure of the potential combination, the OCI shareholders would receive a ratio after completing the mutual Due diligence and relative evaluation. Oci would then be liquidated and triggered by Euronext Amsterdam.
If a transaction can be agreed and approved by the bodies of the two companies, it is presented to the shareholders of both companies and for official approvals from the responsible authorities.
